Affiliate Program Terms and Conditions
Effective Date: 2025.11.03.
Operator / Company: ServerAstra Ltd. (Hereinafter: the "Company")
1. Scope and Applicability
1.1. These Affiliate Program Terms and Conditions ("Terms") govern participation in the Company's affiliate marketing program ("Affiliate Program" or "Program").
1.2. By submitting an application, creating an affiliate account, or otherwise participating in the Program, the individual or legal entity ("Affiliate") agrees to be legally bound by these Terms.
1.3. The Company may amend these Terms at any time. Continued participation constitutes acceptance of the updated Terms.
2. Eligibility
2.1. The Affiliate must:
- be at least 18 years of age,
 - have full legal capacity to enter binding agreements,
 - not be subject to trade sanctions or legal restrictions.
 
2.2. Admission into the Program is at the sole discretion of the Company, and the Company may reject an application without providing justification.
3. Definitions
- Affiliate Account - online interface where the Affiliate may track commissions and payout status.
 - Commission - conditional remuneration payable to the Affiliate for Qualified Transactions.
 - Qualified Transaction - a purchase originating from the Affiliate's tracking link that is:
- fully paid,
 - not cancelled, terminated, refunded, reversed, or fraudulent, and
 - past the 60-day validation period.
 
 
4. Commission Structure and Earning Conditions
4.1. Unless otherwise stated in writing by the Company, the following applies:

4.2. Commission is calculated on the net transaction value, excluding taxes, fees, shipping, discounts, chargebacks, and refunds, or other deductions.
4.3. Commissions are conditional and do not become earned or payable until all requirements of these Terms are satisfied.
5. Payouts and Withdrawal Terms
5.1. Available withdrawal methods:
- PayPal
 - Cryptocurrencies
 - Bank Transfer
 - SEPA Transfer
 
5.2. Commissions are maintained in the Affiliate Account in the account currency.
5.3. If a payout method does not support the account currency (including, without limitation, cryptocurrency or SEPA EUR-only transfers), the Company will:
- convert the payable balance into a supported currency,
 - use the daily exchange rate applicable at the moment of payment processing, based on a reputable financial data provider selected by the Company.
 
5.4. Cryptocurrency payouts:
- Conversion is based on the market rate at payment execution time.
 - Any blockchain/network fees are borne solely by the Affiliate.
 
5.5. SEPA payouts:
- SEPA transfers are executed strictly in EUR.
 - If conversion is required, the daily exchange rate at execution will be applied.
 
5.6. All withdrawal, processing, conversion, banking, PayPal, or network fees are deducted from the payout and borne solely by the Affiliate.
6. Identity Verification (KYC), AML Compliance, and Tax Documentation
6.1. No commissions may become payable until the Affiliate completes mandatory identity verification (KYC / AML).
6.2. Required documentation:
- Valid government-issued identification (passport or national identification card), and
 - One of the following:
- an official invoice issued by the Affiliate to the Company, or
 - a tax residency certificate issued by the Affiliate's tax authority.
 
 
6.3. These documents are required so that remuneration is legally classified as independent business activity.
Failure to provide these documents means the Affiliate is not legally eligible to receive payment.
6.4. If the required identity and tax documentation is not submitted:
- no contracts for remuneration are formed,
 - no commissions become due or payable, and
 - the Affiliate irrevocably forfeits all accrued commissions.
 
6.5. The Company does not hire Affiliates as employees under any circumstances.
The absence of required documentation prevents payment, and the remuneration aspect of the relationship is treated as void and as never having formed.
7. Fraud, Misconduct, and Forfeiture
7.1. The Company reserves the right to withhold and/or permanently forfeit commissions in cases including, but not limited to:
- fraudulent or suspicious activity,
 - spam, bot activity, forced clicks, or artificial traffic,
 - violation of any applicable law,
 - breach of these Terms.
 
7.2. The Company may suspend or terminate an Affiliate Account with immediate effect in such cases.
8. Taxes
8.1. The Affiliate bears exclusive responsibility for tax reporting and tax compliance in their country of residence.
8.2. The Company does not assume payroll, withholding, or employment tax obligations for Affiliates.
9. Data Protection and Privacy
9.1. The Company's existing Privacy Policy (https://serverastra.com/docs/Privacy-Policy ) applies to the Affiliate Program in full.
9.2. Participation in the Program constitutes acknowledgement and acceptance of all data processing activities necessary for:
- Program administration,
 - payment processing,
 - identity verification (KYC/AML),
 - fraud prevention,
 - accounting and tax compliance.
 
10. Limitation of Liability
10.1. To the maximum extent permitted by law, the Company shall not be liable for:
- indirect, consequential, or punitive damages,
 - loss of revenue, business, or anticipated profits,
 - exchange rate losses,
 - actions or errors of third-party processors or banking/crypto networks.
 
10.2. The Company's total cumulative liability shall not exceed the commissions actually paid to the Affiliate within the previous three (3) months.
11. Governing Law and Jurisdiction
11.1. The agreement between the Affiliate and the Company shall be governed in all aspects by the laws of European Union and Hungary.
11.2. The parties irrevocably submit to the jurisdiction of Budapest District Court for the IV. and XV. Districts. In case of a mutually agreed requirement the Parties may conclude a joint written agreement to make amendments or modifications to the aforementioned.
12. Acceptance and Binding Effect
By applying to the Affiliate Program or by using the Affiliate Account, the Affiliate expressly acknowledges and agrees that:
- they have read, understood, and accepted these Terms, and
 - they possess the legal authority to enter into this contract, and
 - they confirm that there are no restrictions on their contractual capacity, thereby validating their rights and obligations under this contract.
